LIVE’s SEARCH FOR AMERICA’S NEW GRILL STAR



I. NAME OF SPONSOR(S)

American Broadcasting Companies, Inc. and LIVE with Kelly and Michael, 77 West 66th Street, New York, New York 10023 (Hereinafter referred to as “Sponsor”).

II. ELIGIBILITY:

Entrants must be: 18 years of age or older as of May 29, 2015; a legal resident of the 50 U.S., D.C. or Canada (except the Province of Quebec), with the exception of Guam, Puerto Rico and all other U.S. territories and possessions and where prohibited by law; and available to travel on dates that may fall between May 26- Aug 15, 2015, as determined at the sole discretion of the Sponsor.

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for American Broadcasting Companies, Inc., WABC-TV, LIVE with Kelly and Michael, Disney/ABC Domestic Television, Bush’s Beans, and any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the sweepstakes or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to nominate or be nominated. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

III. HOW AND WHEN TO ENTER

NO PURCHASE NECESSARY.

“LIVE’s Search for America’s New Grill Star” (the “Challenge”) will begin at the time of announcement/ search for entries on or about Friday May 15, 2015 at 10:00a.m ET. Entries will be considered through Thursday, July 23, 2015 at 3pm. ET (the “Entry Period”). The “Challenge” will conclude with the selection of a grand prize winner on Thursday, August 13th (on a show that will air on Friday, August 14th).

To enter the challenge, you must submit a video no longer than 30 seconds telling us why you should be America’s New Grill Star. The video submitted should display your personality, creativity, passion for grilling, and explain / show what your #1 dish is. The dish you describe will be the dish that will be prepared on Live if selected. The dish must be an original recipe.

To submit your video, Entrants should go to: a) www.livekellyandmichael.com (“Live Website”); or b) members of Facebook can log in to Facebook and visit the Live with Kelly & Michael Facebook Page located at LIVEKellyandMichael (“FB Website”). Regardless of which internet site, entrants must click on the “LIVE’s Search for America’s New Grill Star” link and then follow the online instructions to complete the submission form, which requests the following information: first and last name, address, city, state/province, zip/postal code, phone number(s), email address. Entrants will also find online instructions about how to upload the video submission. Only one video submission may be submitted per person per entry period. (see schedule of entry periods below)

LIVE can provide no technical support and accepts no responsibility for insuring the receipt of your video. All submissions become the property of LIVE and may be used without compensation in any manner, and, in any media, worldwide in perpetuity, for programming, publicity, promotional and/or other purposes, to the extent permitted by law. Entrants agree to abide by the Official Rules and Sponsor’s Terms of Use.

Each Friday (unless otherwise noted) during the Challenge Period, a selected contestant (“chef”) will appear on LIVE with Kelly and Michael (“LIVE”) to demonstrate their recipe. Chef’s asked to appear on Live will be considered “Semi-finalists”. Semi-finalists will need to be available to travel to Live in order to demonstrate their dish. If the semi-finalist cannot travel during the date assigned by Live they may forfeit their spot to continue in the competition. If selected, semifinalists will be asked to film a “get to know you video” that will air on Live and the website.

Entrant may be asked to consent to receive promotional emails from Sponsor and affiliated entities. This consent is not required to enter the Challenge and does not increase your chances of winning.

Note: You understand that you are providing your information to LIVE and not to FACEBOOK. This contest is not sponsored, endorsed or administered by FACEBOOK, nor is FACEBOOK associated with this contest in any way. Any questions, comments or complaints regarding this contest must be directed to LIVE, and not to FACEBOOK.

Limit one (1) Entry per person/per email address/per week during the Entry Period.

Mass entries or entries generated by a script, macro or use of automated methods will be disqualified. If canceled, Sponsor reserves the right at its discretion to determine the winner using all non-suspect eligible entries received up to the time of cancellation. In the event of a dispute over an electronic entry, prize will be awarded to the authorized subscriber of the e-mail account, not the name on the entry form.

ENTRANT REQUIREMENTS

Entrant must submit a video no longer than 30 seconds telling us why you should be America’s New Grill Star. The video submitted should display your personality, creativity, passion for grilling, and explain / show what your #1 dish is. The dish you describe will be the dish that will be prepared on Live if selected. The dish must be an original recipe. **recipe must be placed in the caption. The entry may include other people in addition to Entrant, provided that any such persons or their legal guardians have authorized Entrant to do so. Only an Entrant may be eligible for a prize. Each Entrant and his/her Entry must comply with all Contest eligibility requirements as set forth in these Official Rules as well as comply with the Entrant video Agreement and video Requirements.

VIDEO REQUIREMENTS

Each Entrant must own the camera equipment used to take the Photo prior to entering this Contest.

Entrant must not be a professional photographer. Each Entrant and video must adhere to the following guidelines and requirements:

1) Video file can be asf, asx, avi, divx, dv, dvx, m4v, mov, mp4, mpeg, mpg, qt, 3g2, 3gp, 3ivx,3vx.
2) The video file must not exceed 50MB.
3) Video must be original and Entrant’s own creation and Entrant warrants that he/she has secured all necessary rights relating to its use and the use of the content in the video.
4) Video cannot contain the phone number(s), address, email address of the Entrant or any other person.
5) Video must not contain or depict any objectionable, unlawful, defamatory, obscene, sexually explicit, threatening, abusive, harassing, hateful, discriminatory, threatening, or vulgar material and must be otherwise fit for publication/posting/uploading, as determined by Sponsor in its sole and absolute discretion.
6) Video must not include materials (language, phrases, quotations, trademarks, artwork, or products or brand names not owned or licensed by the Sponsor or its affiliates) etc.), belonging to or copyrighted by third parties.
7) Video must not contain any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation.
8) Entrant represents and warrants that he/she has obtained permission of any person (or if applicable, the legal guardian of any minor) included in the Video. Furthermore, any Entrant who is selected as a semi-finalist or Grand Prize Winner will provide the Sponsor with signed releases establishing the necessary permissions were obtained within the time specified by the Sponsor. Sponsor has the right to disqualify any Video and subsequently any Entrant’s Entry that does not adhere to the above criteria or is otherwise in violation of these Official Rules as determined by Sponsor in its sole and absolute discretion.

Sponsor can provide no technical support and accepts no responsibility for insuring the receipt or successful submission of entrant’s registration and/or video. Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the contest. Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site or app, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this contest.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED

Semi-Finalists

Semi-finalists will be selected and notified according to the schedule listed above.
All Semi-Finalist will be assigned a number between 1 and 20 in each of the following categories for their video submission: 1), Personality, 2) Creativity; 3) Recipe; and 4) Overall Appeal, 5) *phone interview. Those numbers will be added together to create the judges Score (the “Judging Score”), which will be a maximum of (100). The weekly semi-finalist will be the Entrant with the highest Judging Score from that week’s eligible entries. In the event of a tie, the semi-finalist will be the Entrant with the highest overall appeal score, if a tie remains, then the Entrant with the highest Appearance score; if a tie remains, then the Entrant with the highest Creativity score; lastly, if a tie persists, the Entrant with the highest recipe score. *Phone interviews will not take place with all entrants.

Semi-finalist will be contacted by phone or email. If semi-finalist cannot be contacted after 3 attempts, the semi-finalist will be disqualified and an alternate will be selected from the remaining valid entries with the next highest score. Failure to timely comply with any requirement of these terms and conditions will result in the semi-finalist entrant being deemed ineligible for any prize. If necessary by law, each Canadian resident who is a potential winner will be required to answer correctly a mathematical skill testing question without assistance of any kind whether mechanical or otherwise to be declared a semi-finalist and be eligible to collect a prize.

In the event a semi-finalist is deemed ineligible, fails to comply with contest procedures, or is not available specified dates, then an alternate semi-finalist will be selected with the next highest Judging Score from the same entry pool as the original entry was selected. Final determination of semi-finalists is always conditional on verification of eligibility and compliance with all rules and procedures.

FINALISTS:
Two finalist will be chosen based on their cooking segment and other materials aired on LIVE. Show Judges will base their votes on 1) overall guest appearance, 2) personality, 3) dish presentation, 4) recipe presentation, 5) taste of dish (each will be rated on a scale from 1-20 and will be added together to create each judge’s score (the highest being 100) (This score will count for the 60% of the overall score)
Internet/ Social Media Vote: 50% reach*, 25% views 25% shares of the “get to know the chef” video and the show segment (this total will count for 40% of the overall score) *Reach is a metric that measures how many people have seen the post. As defined by Facebook: “Post reach is the number of people who have seen your post. Your post counts as reaching someone when it's shown in News Feed. Figures are for the first 28 days after a post was created and include people viewing your post on desktop and mobile.” This is private and cannot be seen by the public.

Grand Prize Winner

Finalist to Grand Prize Winner:
The two highest scored Semi-finalists will move on to the Finalist Round for an on-air cook-off. The winner of this cook-off will be the Grand Prize Winner.
A panel of judges will judge the two competitors on 1) Originality, 2)Personality, 3) Taste, 4)Recipe, and 5) Overall chef presentation (each given a number from 1-20 for a total no higher than 100). An audience tasting section will judge on the same criteria (the audience vote will collectively count as 1 judge.) In the event of a tie the score that got the contestants to the finals will be used to determine the winner.
In the event a winner is deemed ineligible, fails to comply with contest procedures, or is not available to claim prize during specified dates, then an alternate winner will be the next highest Grand Prize Score. Final determination of winner is always conditional on verification of eligibility and compliance with all rules and procedures.

VI. PRIZE(S)

Nine (9) Semi-Finalists will each receive one (1) $100 gift pack from Bush’s Beans.
One (1) runner up will receive $2,500
One (1) Grand Prize Winner will receive $10,000
Semi-finalists and finalists Prize includes: two (2) roundtrip coach class airline tickets to a New York City area airport, two (2) nights’ hotel accommodations (one room, double occupancy, room & tax only), transportation to and from the NYC airport to the hotel. Estimate Retail Value: $3,000 Final actual value at time of booking and travel may be substantially more or less depending on dates of travel, point of origin and ticket availability. All expenses not specifically provided for herein are the winner’s sole responsibility. Some restrictions may apply. Winners are not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may transfer or substitute prizes of equal or greater value. Winners are solely responsible for reporting and paying all applicable federal, state, and local taxes. An IRS Form 1099 will be issued for any prize valued at $600 or more. The Grand Prize winner will be required to submit a valid executed IRS Form W-9.

The round-trip coach-class air transportation element of the prize begins and ends at a commercial airport near winner's residence. Sponsor reserves the right to structure travel route in its sole discretion. If a winner lives within 100 miles of New York, N.Y., air transportation will not be provided but ground transportation (or alternate transportation) may be arranged in Sponsor’s sole discretion. No extension or change of trip dates permitted once trip dates have been confirmed by Sponsor. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which will be stated in the Affidavit/Release (described below) and/or trip prize travel documents. If a travel prize winner is a resident of a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian and such person must accompany the winner as the travel guest. If winner elects to travel without a guest, no additional compensation will be awarded. If a Prize trip is outside the U.S. or Canada (if winner is a resident there), winner and guest(s) (if applicable) are solely responsible for obtaining all necessary travel documents including passports and visas. The U.S. State Department requires all international travelers to present a government issued passport for U.S. Customs re-entry after air, land or sea travel. Prize winner and guest, if any, must travel together on the same itinerary and all trip components must be taken together on the same trip. In the event that a prize component is not available during the time of the trip for whatever reason (e.g., weather conditions), then remaining elements of prize or prize components shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded in lieu thereof. Prize winner and/or his/her travel guest(s) must have/present at least one major credit card in good standing in order to check into a hotel. All other expenses and incidentals not specifically mentioned as being included are excluded and are winner's sole responsibility including, but not limited to, taxes, air transfers, government fees, unspecified ground transportation, gratuities, hotel incidentals, telephone calls, government fees, souvenirs, gift shop purchases, spas, travel documents, service charges and travel insurance premiums, trip and travel insurance, and required immunizations if applicable.

VII. RELEASES

By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor, which shall be final in all respects.

By participating in the sweepstakes/contest and/or accepting any prize that they may win, entrants agree to release American Broadcasting Companies, Inc., WABC-TV, LIVE with Kelly and Michael, Disney/ABC Domestic Television, their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) and Facebook from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in the sweepstakes and/or acceptance or use of the prizes.

Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

To claim prize winner must: (a) provide proof of winner’s age, residency, and legal status; (b) sign and return eligibility, publicity, liability, rules compliance and any other releases requested by Sponsor; and (c) have winner’s intended guest(s) or travel companion(s), if any, sign and return releases requested by Sponsor; all within the time period(s) specified by Sponsor.

VIII. MISCELLANEOUS; WINNERS’ LIST

Void where prohibited. All federal, state and local laws and regulations apply.

Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the sweepstakes in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.

List of semi-finalists and winners will be posted at www.LIVEkellyandMichael.com for 60 days following the conclusion of the contest.
