Contest Rules



I. NAME OF SPONSOR

Buena Vista Television, LLC, American Broadcasting Companies, Inc., WABC-TV, LIVE with Kelly (“LIVE”) and Disney/ABC Domestic Television (“Sponsor”).

II. ELIGIBILITY

Entrants must be 18 years of age or older and a legal resident of the 50 United States, the District of Columbia or Canada (except Quebec).

All Finalists must be available to travel to New York as early as Saturday, October 15th, 2016 to be on LIVE between Monday, October 17th, 2016 and and Friday, October 21st 2016. If finalists are unable to appear on a designated date, those finalists will be disqualified.

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Sponsor, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the contest or supplying the prize, and/or their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to enter or play. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

III. HOW AND WHEN TO ENTER

NO PURCHASE NECESSARY.

Enter by visiting www.livekelly.com or Live Facebook.com/LiveKelly and follow the instructions provided (see also details below) to complete the registration process and upload your materials. Required submission materials include: a video of one minute or less in length, recorded by entrant, demonstrating why you think you can be a co-host for a day with Kelly Ripa on “LIVE With Kelly” (“Submission Video”); and a one hundred words or less biography telling us about yourself (“Biography”). You must include your name, address, home & cell phone numbers, and email address (not counted in the 100 words or less). Biographies and/or Submission Videos may be featured on air and/or on-line. Use of Biographies and/or Submission Videos will be at the sole discretion of LIVE and may be edited or otherwise modified, and/or removed, at LIVE’s sole discretion.

To enter on Facebook directly, go to the LIVE with Kelly Facebook page www.facebook.com/LIVEKelly, “Like” the page (if you haven’t already) and then click the sweepstakes tab on the Facebook page, which will take you to the entry form. For Facebook entries, you understand that you are providing your information to Sponsor and not to Facebook as this Sweepstakes is not sponsored, endorsed or administered by Facebook, nor is Facebook associated with this Sweepstakes in any way. Any questions, comments or complaints regarding this Sweepstakes must be directed to the Sponsor, and not to Facebook.

Contest Entry Period: 10am ET, Wednesday, September 7, 2016 to 11:59pm ET, Tuesday, September 20, 2016.

One entry per person.

Entries must comply with the following content guidelines to be eligible:

    • Video and essay must be created and recorded by entrant and entrant has all rights to use, submit and allow the material to be made public, posted and/or broadcast.
    • Content may not be: sexually explicit or suggestive; dangerous; violent; derogatory of any ethnic, racial, gender, religious, professional or age group; endorse hate or hate groups; offensive; profane, pornographic, obscene or contain nudity.
    • Content may not promote or show alcohol, tobacco, illegal drugs, firearms/weapons, any activities that may appear unsafe or dangerous, or any particular political agenda or message.
    • Content may not defame, misrepresent or contain disparaging remarks about Sponsor, or other products, people or companies.
    • Content may not contain trademarks, logos or trade-dress (such as distinctive packaging or building exteriors/interiors) owned by others, or advertise or promote any brand or product of any kind or contain any personal identification, such as license plate numbers, personal names, e-mail addresses or street addresses.
    • Content may not contain copyrighted materials owned by others (including music, photographs, movies, television programs, sculptures, paintings and other works of art or images published, broadcast or publically displayed).
    • Content may not contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, without permission.
    • Content may not depict any, and may not itself be in, violation of any law.
Video file must be submitted by the Entrant in one of the following video file formats: asf, asx, avi, divx, dv, dvx, m4v, mov, mp4, mpeg, mpg, qt, wmv, 3g2, 3gp, 3ivx, 3vx. The required size for the Submission is 50MB or less.

Entries remain the property of Sponsor and will not be returned or acknowledged.

Entries and finalist submissions that may be broadcast and/or posted online solely represent the views/opinions of the individual entrants and do not reflect the views/opinions of the Sponsor and/or Facebook in any manner. Sponsor may disqualify any submission and entry that is in violation of the restrictions, requirements and guidelines set forth in these official rules.

Sponsor can provide no technical support and accepts no responsibility for insuring the receipt or successful submission of your entry. Mass entries or entries generated by a script, macro or use of automated methods will be disqualified. Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the contest, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this contest. In the event of a dispute over an electronic entry, prize will be awarded to the owner of the e-mail account, not the name on the entry form.

Except as otherwise contemplated by these Rules, and to the extent entrants may otherwise elect at the time of Entry, information provided by you for these Sweepstakes is subject to Sponsor’s privacy policy located at https://disneyprivacycenter.com/privacy-policy-translations/english.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED

On Friday, September 23, 2016, the TOP 40 entries selected by LIVE staff from all entries submitted will be announced on the air. The criteria for selection at all stages of the contest, unless otherwise indicated, include: 1) Creativity (25%); 2) Overall Performance (25%); 3) Enthusiasm and Personality (25%); and Presentation (25%) (“Judging Criteria”). Each Submission will receive a score based on the Judging Criteria for a maximum of up to one hundred (100) points.

On or about Friday, September 23, 2016, the TOP 40 entries will be given a “Video Challenge” to be completed and sent to LIVE by Thursday, Noon ET, September 29th, 2016. Video Challenge may not be more than 1 minute in length and may be featured on air and/or on-line. The use of Video Challenge videos, which may be edited or otherwise modified, will be at LIVE’s sole discretion. Each TOP 40 will be given a private link to upload their Video Challenge video by a specified date. Failure to successfully upload the video by the required date may result in disqualification. LIVE staff will review videos and select the TOP 20 entries, based on the same Judging Criteria as above.

On or about Wednesday, October 5, 2016 the TOP 20 entries will be announced on the air. Viewer Voting will begin once announced on the show and ends on Sunday, October 9th, 2016 at 11:59pm ET. Vote by visiting www.livekelly.com or Live Facebook.com/LiveKelly. To vote, viewers will review the entrant’s biography and /or Submission Video and/or Video Challenge and vote for their favorite contestant. Every person may vote for only one contestant once per day.

On or about Tuesday, October 11, 2016, LIVE will announce on the air the TOP 10 entries with the top ten highest vote totals received. On or about Wednesday, October 12, 2016 and/or Thursday, October 13th, 2016, LIVE staff will conduct a video chat interview with each of the TOP 10 entries, which will factor into the final selection decision, along with the other Judging Criteria as mentioned above.

On or about Friday, October 14, 2016, LIVE will announce the TOP 5 finalists on the air.

The schedule of planned, but not guaranteed, appearances and involvement with LIVE include:

Monday, October, 17, 2016 – All TOP 5 finalists appear live on the show and are interviewed by Kelly Ripa and the guest co-host. Then All TOP 5 finalists will participate in Challenge #1. Voting for Challenge #1 begins on October, 17, 2016 at 10:30 am ET and ends on October 17, 2016 at 11:59pm ET. Viewers can go online to review Challenge #1 videos by each finalist and vote for their favorite. Voting procedures for TOP 5 competition challenge rounds are described below.

Tuesday, October 18, 2016 – All TOP 5 finalists return to the show. LIVE will announce the voting results. The 4 finalists with the 4 highest Challenge Scores from the previous day (see Challenge Score component details below) will remain in the competition. The finalist with the lowest Challenge Score will be sent home. The 4 remaining finalists will now participate in Challenge #2. Voting for Challenge #2 begins on October 18, 2016 at 10:30 am ET and ends on October 18, 2016 at 11:59pm ET. Viewers can go online to review Challenge #2 videos by each finalist and vote for their favorite.

Wednesday, October, 19, 2016 – The 4 finalists return to the show. LIVE will announce the voting results. The 3 finalists with the 3 highest Challenge Scores from the previous day will remain in the competition. The finalist with the lowest Challenge Score from the previous day will be sent home. The 3 remaining finalists will now participate in Challenge #3. The voting for Challenge #3 begins on October 19, 2016 at 10:30 am ET and ends on October 19, 2016 at 11:59pm ET. Viewers can go online to review Challenge #3 videos by each finalist and vote for their favorite.

Thursday, October 20, 2016 – The 3 finalists return to the show. LIVE will announce the voting results. The 2 finalists with the 2 highest Challenge Scores from the previous day will remain in the competition. The finalist with the Challenge Score from the previous day will be sent home. The 2 remaining finalists will participate in Challenge #4. The voting for Challenge #4 begins on October 20, 2016 at 10:30 am ET and ends on October 20, 2016 at 11:59pm ET. Viewers can go online to review Challenge #4 videos by both finalists and vote for their favorite. Grand Prize winner will be announced on Friday, October 21, 2016 and on LIVE’s website. The Grand Prize winner will be awarded to the finalist with the highest Challenge Score from the previous day.

Friday, October 21, 2016 –- The Grand Prize winner and Kelly Ripa will co-host LIVE together.

One day the week of October 24, 2016 - The Grand Prize winner and Kelly Ripa will co-host LIVE together.

VOTING PROCEDURES DURING THE TOP 5 CHALLENGE WEEK OF OCTOBER 17, 2016: Each Challenge will be posted online and each Finalist and the general public may vote/share/view on each of the following website platforms ("Public Voting"):

1 LIVEKelly.com - "Vote" for your favorite Submission

2 Facebook.com/LIVEKelly - “Share” and/or “View” for your favorite Submission

3 Instagram.com/Kelly - "Like" your favorite Submission by viewing that day’s show challenge and hitting the “heart” to like

4 Twitter.com/LIVEKelly – Go to LIVE’s Twitter page and "Re-Tweet” your favorite Submission.

CHALLENGE SCORE COMPONENTS: For the Top 5 Challenge Week, Public Voting (via LIVEKelly.com) will count for only 20% and Social Media (via Facebook, Instagram and Twitter) will count for only 20% of the total Challenge Score for each day’s challenge. In addition, a panel of Grand Prize judges (made up of LIVE staff members) will judge each day’s Challenge based on a criteria of Entertainment Value on a scale of 1-50 that will count for 60% of the total score. Grand Prize judges will add the 20% Public Voting Score and 20% Social Media score to the Grand Prize Judging score of 60% to determine the highest Challenge Scoring finalists deemed to stay on the show until 1 finalist remains. That remaining finalist becomes the Grand Prize Winner.

In the event of a tie at any stage in the voting process, the Entrant whose Submission receives the higher score for Creativity will be declared a Finalist. In the event of a further tie, the Entrant whose Submission receives the higher score for Overall Performance will be declared a Finalist. In the event of a further tie, the Entrant whose Submission receives the higher score for Enthusiasm and Personality will be declared a Finalist. In the event of a further tie, the Entrant whose Submission receives the higher score for Presentation will be declared a Finalist. In the event of a further tie, the Entrant who receives the higher score for Entertainment Value will be declared a finalist winner for that round. In the event of a further tie, Sponsor in its sole discretion shall choose a Finalist based on an evaluation of which contestant’s materials are superior overall taking all categories into consideration.

Sponsor has the right, in its sole discretion, to select fewer than 5 Finalists based on an insufficient number or quality of potential eligible Entries received.

TOP 10 Finalist Notification and Requirements:

Each potential TOP 10 Finalist will be notified by telephone at the phone number listed on his/her Entry prior to the Finalist on air announcement and be required to comply with the following requirements within twenty-four (24) hours from the call: (1) complete and sign an Entrant and Contributor On Air Release; (2) confirm availability to travel on or about October 15th, 2016 and to be available to be on LIVE between Monday, October 17th, 2016 and one day the week of October 24th, 2016; (3) complete and sign a Background Check Authorization Form; and (4) complete and sign an Affidavit of Eligibility, a Liability Release, and a Publicity Release and any other documentation that Sponsor may require (collectively “Affidavit/Release”), which, among other functions, releases Sponsor and contest entities from any and all liability. The original unmodified Affidavit/Release documents must be completed, signed and returned within twenty-four (24) hours of receipt. Failure by a TOP 10 Finalist to meet any of these deadlines may result in disqualification and Sponsor will have no further obligation to such entrants. All TOP 10 finalists authorize LIVE to conduct background checks on them, at LIVE’s sole discretion. The results from a possible Background Check must be satisfactory, in Sponsor’s sole and absolute discretion. Potential disqualifying background check issues include, but are not limited to: a record of criminal activity; a restraining order or protective order taken out against them; or other past history of significant anti-social or dangerous behavior.

Mass votes or voting generated by a script, macro or use of automated devices (“Mass Voting”) will be disqualified. Sponsor reserves the right to modify, suspend or cancel the Contest in the event: the Contest becomes infected by a computer virus or is otherwise technically impaired; and/or tampering, unauthorized intervention, fraud, technical failures, Mass Voting or other causes corrupt the administration, security, fairness, integrity or proper play of the Contest. If modified, suspended, or canceled, Sponsor reserves the right at its sole discretion to determine the winner using all non-suspect, eligible votes received up to the time of modification/suspension/cancellation using the judging procedure outlined above. Sponsor reserves the right at its sole discretion to disqualify any individual involved with, and/or void all associated votes it finds to be: tampering with the voting process or the operation of the Contest or related websites; intending to annoy, abuse, threaten or harass any finalist, Sponsor or any of its representatives; or to otherwise be acting in violation of the Rules. CAUTION: Any attempt to deliberately damage any website or undermine the legitimate operations of the Contest is potentially a violation of criminal and civil laws. Should such an attempt be made, Sponsor reserves the right to seek damages and other such remedies from any such person to the fullest extent permitted by law.

Sponsor reserves the right to modify the voting mechanism, method and/or processes during the Contest to account for technical and production issues and to improve the user experience (including, without limitation, by adding to, changing or eliminating a method of submitting votes). Any such changes will be noted in a revision to the Rules and online.

Sponsor requires all entrants and finalists to act in good faith in all matters relating to the Contest and other entrants and finalists. To that extent any entrant, finalist and/or their Immediate Family Members act in a manner that: disparages or damages the Contest, entrants and/or finalists, via press, broadcast, online or any other means, including but not limited to deliberately encouraging others to vote against an entrant and/or finalist; employing or encouraging others to employ Mass Voting mechanisms; or in any way interfering with the planned Contest and voting procedures; is cause for disqualification from the Contest and/or the ability to vote in the Contest. This determination shall be made at Sponsor’s sole discretion and will be final.

By participating in this contest, each TOP 10 Finalist attests to the authenticity of his/her Entry and compliance with these Official Rules. Potential TOP 10 Finalists are subject to verification of compliance with these Official Rules. Final determination of winner is always conditional on verification of eligibility and compliance with all rules and procedures.

V. PRIZE

The Grand Prize winner will co-host with Kelly Ripa for a day on LIVE, Friday, October 21, 2016.

Sponsor will pay for the round-trip airfare for each TOP 5 finalist and their selected guest. Sponsor will also provide hotel accommodations, and a $75 per day, per person, per diem (payment will be made via a check to be sent to the finalists after October 24, 2016) for each TOP 5 finalist and their guest. Hotel accommodations and per diem will only be provided until the finalist loses a challenge and is sent home.

Airfare consists of round-trip coach class air transportation for winner and guest to/from a major commercial airport near finalist’s residence to NY/NJ area airports (actual airport near winner’s residence to be determined in Sponsor’s sole discretion). Hotel accommodations will consist of a standard single room/double occupancy at a hotel selected in Sponsor’s sole discretion. Ground transportation, selected at Sponsor’s sole discretion, from the airport to the hotel and the hotel to the airport will also be provided.

Sponsor is not responsible for flight delays, re-directions, cancelations, or scheduling that may preclude them from participating on the October 17, 2016 show.

Grand Prize winner will be paid as a performer under the SAG-AFTRA TV code for their one day of co-hosting. Amount of payment will be dependent on whether or not Grand Prize winner is a member of SAG-AFTRA.

Entrants and finalists acknowledge that they understand that the prize is for an opportunity to become a co-host for a day and that entrants and finalists will not be hired or considered for a permanent co-host position, and that no such offer of employment or consideration for employment is part of the prize or contest.

All expenses not specifically provided for herein are the winner’s sole responsibility. Some restrictions may apply.

Federal, state and local taxes, if any, are the sole responsibility of the winner, who will receive an IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more.

Winners are not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may substitute prizes of equal or greater value.

Prize is subject to availability. Sponsor is not responsible for cancellation or preemption of show/contest/ co-hosting or for other circumstances that make it impractical or impossible to fulfill the non-travel elements of the prize. The co-host and potential on air and/or online appearance elements of the prize have no approximate retail value, and if it becomes impractical or impossible to fulfill this element, Sponsor’s only obligation will be to provide the remainder, if any, of prize.

VI. RELEASES

By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor, Judges and/or the contest, administrator, which shall be final in all respects.

By participating in this contest and accepting any prize that they may win, entrants agree to release Buena Vista Television, LLC, American Broadcasting Companies, Inc., WABC-TV, LIVE with Kelly, Disney/ABC Domestic Television, Facebook, Instagram, Twitter and their parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this contest and/or acceptance or use of the prize.

Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

By submitting entry materials, entrants certify that such materials are original and created by entrant, that entrants have the necessary rights, permission and authority to submit such materials, and, if applicable, that entrants maintain a valid copyright in the materials. Entrants acknowledge that such materials may be included and/or discussed in a broadcast, that such discussion may include statements or opinions by the broadcast talent or others about the entrants, the entrants’ appearances and/or the materials, and that those statements and opinions may be considered surprising, humiliating, embarrassing, derogatory, defamatory or otherwise offensive or injurious to them, Sponsor’s employees, its studio or at-home audience and/or other third parties. Entrants release the Released Parties from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any use of the materials and/or such statements or opinions made in connection with them during a broadcast.

To claim prize, in additional to the notification and release requirements described above, (a) winner must provide proof of age, identity and residency, (b) winner must sign and return affidavit of eligibility/compliance with rules, publicity/liability release and indemnification, and (c) winner’s intended guest(s) or travel companion(s), if any, must sign liability/publicity release, all within the time period specified by Sponsor.

VII. MISCELLANEOUS; WINNERS’ LIST

Void where prohibited. All federal, state and local laws and regulations apply. Grand Prize winner’s name will be posted on www.livekelly.com.
