OFFICIAL RULES

  1. NAME OF SPONSOR:
    American Broadcasting Companies, Inc., 77 West 66th Street, New York, NY 10023 (Hereinafter referred to as "Sponsor").

  2. ELIGIBILITY:
    Entrants must be: 18 years of age or older as of AUGUST 19, 2013; a legal resident of the 50 U.S., D.C. or Canada (except the Province of Quebec), with the exception of Guam, Puerto Rico and all other U.S. territories and possessions and where prohibited by law; and available to travel on dates that may include September 9-13, 2013, as determined at the sole discretion of the Sponsor.

    Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for Buena Vista Television, LLC, WABC-TV, American Broadcasting Companies, Inc., LIVE with Kelly and Michael, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the sweepstakes or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to nominate or be nominated. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year.

  3. HOW AND WHEN TO ENTER:

    NO PURCHASE NECESSARY.

    Viewers should visit LIVEKellyandMichael.com and click on "LIVE's VIEWERS' CHOICE SHOW" and vote for ten (10) of their favorite moments. Viewers will also be required to provide contact information so that the Show can contact them in the event they are selected. Entries begin on MONDAY, AUGUST 19, 2013 at 9AM ET and continue through FRIDAY, AUGUST 30, 2013 11:59PM ET.
    LIVE can provide no technical support and accepts no responsibility for insuring the receipt or successful submission of your registration and/or selected “favorite moments".

    Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the sweepstakes is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the sweepstakes, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the sweepstakes. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this sweepstakes.

    Limit one (1) Entry per person/per email address/per day during entry period.

    Mass entries or entries generated by a script, macro or use of automated methods will be disqualified. If canceled, Sponsor reserves the right at its discretion to determine the winner using all non-suspect eligible entries received up to the time of cancellation. In the event of a dispute over an electronic entry, prize will be awarded to the authorized subscriber of the e-mail account, not the name on the entry form.

  4. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED:
    One random winner will be selected on or about August 31, 2013. The winner will be notified on or about September 3, 2013. Sponsor may or may not draw and/or announce the winner's name on air.

    If contact with the winner is not made within 24 hours the winner will be disqualified and an alternate will be selected from the remaining valid entries from the same entry pool. Failure to timely comply with any requirement of these terms and conditions will result in the winning entrant being deemed ineligible for any prize. Each Canadian resident who is a potential winner will be required to answer correctly a mathematical skill testing question without assistance of any kind whether mechanical or otherwise to be declared a winner and be eligible to collect a prize.

    In the event winner is deemed ineligible, fails to comply with sweepstakes procedures, or is not available to claim prize during specified dates, then an alternate winner will be selected at random from the same entry pool as the original entry was selected. Final determination of winners is always conditional on verification of eligibility and compliance with all rules and procedures. Odds of winning will depend on the number of entries received through the period.

  5. PRIZE(S):
    One (1) Grand Prize Winner will receive a trip for two (2) to New York to attend the taping of the "Kelly & Michael's 1st Anniversary Viewers' Choice Show" which will be taped during the week of September 9, 2013 and is scheduled to air on Friday, September 13, 2013. The exact date of the taping of the Viewers' Choice Show is at the sole discretion of the Sponsor.

    Prize includes: two (2) roundtrip coach class airline tickets to a New York City area airport, four (4) nights' hotel accommodations (one room, double occupancy, room & tax only), $1000 food & misc. expense allowance, transportation to & from the NYC airport to the hotel. Any minor must be accompanied by their parent or legal guardian who will be counted as one of the two travelers. ARV: $3,500

    Final actual value at time of booking and travel may be substantially more or less depending on dates of travel, point of origin and ticket availability. All expenses not specifically provided for herein are the winner's sole responsibility. Some restrictions may apply.

    Winners are not entitled to exchange or transfer prizes or to obtain cash or other substitutes, but Sponsor in its sole discretion may transfer or substitute prizes of equal or greater value. If won by a minor, prize will be awarded in parent's or guardian's name.

    Winners are solely responsible for reporting and paying all applicable federal, state, and local taxes. An IRS Form 1099 will be issued for any prize valued at $600 or more.

    The round-trip coach-class air transportation element of the prize begins and ends at a commercial airport near winner's residence. Sponsor reserves the right to structure travel route in its sole discretion. If a winner lives within 100 miles of New York, N.Y., air transportation will not be provided but ground transportation (or alternate transportation) may be arranged in Sponsors sole discretion. No extension or change of trip dates permitted once trip dates have been confirmed by Sponsor. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which will be stated in the Affidavit/Release (described below) and/or trip prize travel documents. Winner and guest must travel together on the same itinerary. If a travel prize winner is a resident of a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian and such person must accompany the winner as the travel guest. If travel guest is a resident of a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian and such person must be the winner. If winner elects to travel without a guest, no additional compensation will be awarded. If a Prize trip is outside the U.S. or Canada (if winner is a resident there), winner and guest(s) (if applicable) are solely responsible for obtaining all necessary travel documents including passports and visas. The U.S. State Department requires all international travelers to present a government issued passport for U.S. Customs re-entry after air, land or sea travel. For more information please visit the State Department's consular website www.travel.state.gov or the U.S. Department of Homeland Security's website www.dhs.gov. Prize winner and guest, if any, must travel together on the same itinerary and all trip components must be taken together on the same trip. In the event that a prize component is not available during the time of the trip for whatever reason (e.g., weather conditions), then remaining elements of prize or prize components shall constitute full satisfaction of Sponsor’s prize obligation to winner and no additional compensation will be awarded in lieu thereof. Prize winner and/or his/her travel guest(s) must have/present at least one major credit card in good standing in order to check into a hotel. All other expenses and incidentals not specifically mentioned as being included are excluded and are winner's sole responsibility including, but not limited to, taxes, air transfers, government fees, unspecified ground transportation, gratuities, hotel incidentals, telephone calls, government fees, souvenirs, gift shop purchases, spas, travel documents, service charges and travel insurance premiums, trip and travel insurance, and required immunizations if applicable.

  6. RELEASES:
    By participating, entrants agree to be bound by these official rules and the decisions of the Sponsor, which shall be final in all respects.

    By participating in the sweepstakes and/or accepting any prize that they may win, entrants agree to release Buena Vista Television, LLC, WABC-TV, American Broadcasting Companies, Inc., LIVE with Kelly and Michael, their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns (collectively, the “Released Parties”) from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in the sweepstakes and/or acceptance or use of the prize.

    Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

    To claim prize winner must: (a) provide proof of winner’s age, residency, and legal status; (b) sign and return eligibility, publicity, liability, rules compliance and any other releases requested by Sponsor; and (c) have winner’s intended guest(s) or travel companion(s), if any, sign and return releases requested by Sponsor; all within the time period(s) specified by Sponsor.

  7. MISCELLANEOUS; WINNERS' LIST:
    Void where prohibited. All federal, state and local laws and regulations apply.

    Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the sweepstakes in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.

    2. LIVE's Baseball Giveaway ("Sweepstakes") begins on July 12, 2013 at 9:00 a.m. Eastern Time ("ET") and ends on July 26, 2013 at 11:59 p.m. ET ("Sweepstakes Period"). Sponsor's computer shall be the official clock for purposes of the Sweepstakes.

  2. Eligibility:
    3. Open to persons eighteen (18) years of age or older as of the date of entry who are permanent legal residents of the fifty (50) states of the U.S. and the District of Columbia ("D.C."), (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) and permanent legal residents of Canada (excluding the province of Quebec) who are physically located therein. Participants must have either a valid Social Security number, a valid U.S. personal tax identification number and/or a Social Insurance number for Canadian residents. Employees and agents of Buena Vista Television, LLC ("Sponsor"), LIVE with Kelly & Michael ("Show"), The Walt Disney Company, WABC-TV, American Broadcasting Companies, Inc., Disney *ABC Domestic Television (DADT), Sweepstakes administrator, their respective advertising and promotion agencies, and those involved in the production, development and handling of the Sweepstakes, their respective agents, officers, prize suppliers, parent companies, affiliates and subsidiaries (collectively “Sweepstakes Entities”) and members of their immediate families (parents, children, siblings, spouses) and/or persons living in the same household as such persons, whether related or not, are ineligible to enter Sweepstakes.

  3. How to Enter:

To enter the Sweepstakes, visit the LIVE with Kelly & Michael web site at www.livekellyandmichael.com ("Web Site") and select the Sweepstakes icon or image that will open the Sweepstakes entry page. Registered participants must first login by entering his/her member name and password and then he/she will be directed to the entry page. Participants must follow the online instructions and "submit" his/her entry information which consists of first name, last name, complete home address (including street address, city, state/province and zip code/postal code), email address and daytime telephone number ("Entry Information") to receive one (1) entry into the Sweepstakes ("Entry"). Participants who are not registered on the Web Site, may become a registered member by completing (and thereafter transmitting) the registration form. Information requested on the registration form consists of participant’s first and last name, complete home address (including street address, city, state/province and zip code/postal code), date of birth, gender, email address, member name and choice of password ("Registration Information"). Participants must be registered with the Web Site to enter the Sweepstakes. Registration is free. If a prospective participant is already registered with the Walt Disney family of companies (see Web Site for list of sites), no new registration is required. All required Entry Information must be completed in full and must be accurate, current, true and valid. The Registration Information and the Entry Information must match the information of the participant that completed the act of physically entering the Sweepstakes.     5. Winner will receive a trip for two (2) to New York, N.Y. for seven (7) days/six (6) nights. Trip includes: roundtrip coach class air transportation for winner and his/her guest from a major commercial airport near winner's residence to New York, N.Y. (actual airport in the New York, N.Y. vicinity to be determined in Sponsor's sole discretion); six (6) nights standard hotel accommodations (one (1) room/double occupancy); a five hundred dollar ($500) cash award for travel expenses (awarded to the winner only in the form of check); VIP admission for the winner and his/her guest to the "LIVE with Kelly & Michael" Show ("Show Admission") (actual Show taping or broadcast subject to production schedule in Sponsor’s sole discretion); and tickets for winner and guest to attend one (1) professional baseball game in the New York area ("Game Admission") during the trip (actual baseball game to be determined by Sponsor in its sole discretion and is subject to team schedules, standings in the league, exigencies and ticket availability) ("Grand Prize"). The total Approximate Retail Value ("ARV") of the Grand Prize: $4,950. Odds of winning the Grand Prize depends on the total number of eligible Entries received during the Sweepstakes Period. All monetary values are expressed herein are U.S. dollars ("USD"). If the winner elects to take trip without a guest, winner will not receive any compensation or substitute/alternate Grand Prize or prize component for the same. If the winner resides in a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian who must be deemed the travel guest. If the winner's guest resides in a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian who must be deemed the winner. Sponsor may choose which Show taping or broadcast in its sole discretion, subject to availability and production exigencies. Game Admission is seasonal due to baseball league scheduling, therefore the Game Admission portion of the Grand Prize can only be taken during those scheduled seasons and must be taken in conjunction with that schedule during trip. If the Game Admission or the Show Admission taping or broadcast is cancelled, postponed or unavailable prior to or during winner's trip for any reason, the Game Admission and Show Admission portion of the Grand Prize (as applicable) will be forfeited and no additional or substitute compensation will be provided in lieu thereof. In the event that a prize component is not available during the time of trip for whatever reason (e.g., weather conditions), then remaining elements of the trip shall constitute full satisfaction of Sponsor's prize obligation to winner and no additional compensation will be awarded. Winner's guest must be at least twelve (12) years of age or older in order to partake in the Show Admission portion of the Grand Prize. Winner and guest are solely responsible for obtaining all necessary travel documents. If the winner is a resident of Canada, winner and guest (if applicable) are solely responsible for obtaining all necessary travel documents including passports and visas. The U.S. State Department requires all international travelers to present a government issued passport for U.S. Customs re-entry after air, land or sea travel. Winner and guest must present valid government issued IDs to partake in the Grand Prize, attend the Show and/or meet any other travel and attendance requirements of the airline and/or hotel (in Sponsor's sole discretion). Winner and/or his/her guest must have/present at least one major credit card in good standing in order to check into the hotel. Grand Prize and prize components cannot be combined/exchanged with any other offer. Sponsor reserves the right to select air carrier, hotel and structure the travel route in its sole discretion. Winner and guest must travel together on the same itinerary and all trip components must be taken together on the same trip. No extension or change of travel dates are permitted once the travel dates have been confirmed or booked by the Sponsor. Once the air travel tickets are issued they are non-refundable, non-endorsable and non-transferable. Grand Prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which will be stated in the Affidavit/Release (described below) and/or travel documents. Once travel has been confirmed, any cancellation or change fees or restructuring of the trip are the sole responsibility and expense of the winner. Additional Grand Prize restrictions/conditions may apply. Grand Prize is subject to air/ground travel availability, hotel availability, holiday and blackout dates, baseball league schedule, seasonal restrictions and all other Grand Prize and travel restrictions, as applicable. All expenses associated with the receipt or use of the Grand Prize not specifically mentioned as being included (e.g., any requested upgrades) are excluded and are the winner’s sole responsibility including, but not limited to: taxes, government fees, service charges, ground transportation, air or hotel upgrades, meals, tips, gratuities, hotel incidentals, excursions, tours, laundry service, local and long distance telephone calls or other communications, mobile phone roaming fees, internet or wireless services, souvenirs, gift shop purchases, spa services, travel documents, trip and travel insurance, baggage fees and/or other personal expenses. Sponsor is not responsible for travel delays, cancellations or for any airline and/or hotel policies that may apply and subsequently prohibit or delay winner and/or guests from partaking in the Grand Prize. If for any reason whatsoever, Grand Prize winner is unable to travel after all arrangements have been made and paid, the Sponsor shall have no further obligation to him/her and there shall be no compensation or Grand Prize substitution if winner or guests are unable to take scheduled trip by reason of illness, family emergency, personal events, terrorism, labor strikes, weather, or other acts beyond Sponsor's control. Grand Prize notification, documentation, tickets and trip itinerary will be shipped to U.S., D.C. and Canada (excluding Quebec) addresses only. All federal, state, provincial and/or other taxes are the sole responsibility of the winner. Winner will receive a 1099 form from the Sponsor for the total ARV, as stated herein, of his/her Grand Prize that he/she won in the calendar year that he/she won. Any depiction of the Grand Prize or prize components, in Sweepstakes materials or otherwise, is for illustrative purposes only. Sweepstakes Entities are not responsible for any cancellations, delays, diversions or substitutions, or any act or omission whatsoever with respect to the prizing.

  5. Drawing and Notification of Winner:
    6. Potential winner will be randomly selected from all eligible Entries received in a drawing to be held on or about July 30, 2013 ("Drawing Date") in Burbank, CA by the Sweepstakes administrator, an independent compliance organization. Potential winner (or his/her parent/legal guardian if a potential winner is a Minor) will be notified by telephone at the phone number listed on his/her Entry on or about the Drawing Date. If the potential winner cannot be reached after three (3) phone call attempts within a forty-eight (48) hour period, such potential winner will be disqualified and an alternate potential winner will be selected in Sponsor’s sole discretion. If the potential winner is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her Grand Prize notification documents or requirements are incomplete, or returned as undeliverable, such potential winner will be disqualified and an alternate potential winner will be selected in Sponsor’s sole discretion. If a Canadian resident is selected as the potential winner, he/she must correctly answer a time based, mathematical skill-testing question administered by phone/mail without assistance or mechanical or electronic aid to be eligible for the Grand Prize.

  6. General Conditions:
    7. The Sweepstakes is subject to all applicable federal, state, provincial, and local laws, and to these Official Rules (collectively “Rules and Laws”). By participating, participants agree to be bound by these Rules and Laws and the decisions of the Sponsor/Sweepstakes administrator, which are final and binding in all respects; to waive any right to claim ambiguity with the Rules and Laws; to indemnify and hold harmless the Sweepstakes Entities from any and all claims, actions, injury, loss, damage or liability resulting or arising from the Sweepstakes, including but not limited to, the acceptance, possession, use, or misuse of the Grand Prize (or prize component) awarded; and to release all right to bring any claim, action, or proceeding against the Sweepstakes Entities. Potential winner (or his/her parent/legal guardian if potential winner resides in a jurisdiction that deems him/her to be a Minor), will be required to sign, execute, have notarized, and return an original unmodified Affidavit of Eligibility, a Liability Release, and a Publicity Release and any other documentation that the Sweepstakes administrator and/or Sponsor may require (collectively, "Affidavit/Release") within five (5) business days after receipt or potential winner may be disqualified. Winner’s guest (or his/her parent/legal guardian if guest resides in a jurisdiction that deems him/her to be a Minor) will be required to sign, execute, and return an original unmodified Liability Release and Publicity Release and any other documentation that Sponsor and/or Sweepstakes administrator requires ("Guest Release") within five (5) business days after receipt by potential winner. Winner must not change his/her travel guest without the expressed permission of the Sponsor (in its sole discretion). If a change is approved, completion of the required Travel Guest Release documentation, prior to booking any travel prize components, is required. If the potential winner fails to sign and return the Affidavit/Release within the required time period (as applicable above), such potential winner forfeits any Grand Prize eligibility and an alternate winner may be selected in Sponsor's sole discretion. Winner will be provided a FedEx account number for the return of the original documents. By completing an Affidavit/Release, winner attests to the veracity of the provisions stated therein including compliance with these Official Rules. If the winner is a Minor, Grand Prize will be awarded in the name of his/her parent/legal guardian. Official Rules will be posted at the Web Site during the Sweepstakes Period. If a participant chooses to opt-in to receive communications from a participating Sweepstakes Entity, his/her Entry Information will be subject to that Sweepstakes Entity’s Privacy Policy and Terms of Service (if applicable), and such participant agrees to receive additional email communication from that particular Sweepstakes Entity. Opting in to receive communications does not improve one’s chances of winning the Grand Prize. The Privacy Policy for any Sweepstakes Entity participating in an opt-in will be accessible from the Sweepstakes entry form. Any personal information supplied by participants and/or winner to Sponsor or its affiliates will be subject to Sponsor’s Privacy Policy and Terms of Use posted at http://corporate.disney.go.com/corporate/pp.html. Except where prohibited by law or Sponsor's Privacy Policy, a participant who submitted his/her Entry Information and/or a winner’s acceptance of the Grand Prize constitutes permission of such participant or winner (or his/her parent/legal guardian if he/she is a Minor) for the Sweepstakes Entities to use participant or winner’s name, address (city and state), photograph, likeness, biographical information, statements, and voice for advertising/publicity purposes worldwide and in all forms of media (including but not limited to posting on the Web Site), now known or hereafter devised, in perpetuity throughout the universe without further compensation, in relation to the Sweepstakes or the Grand Prize awarded. Sponsor has the right to modify, use, assign and/or dispose of Entries however it sees fit and for any purpose without any notice or compensation to participant or any third parties. However, Sponsor will not provide any personally identifying information of a Minor, regardless of its source, to any third party without the express written consent of participant’s parent/legal guardian. If, for any reason, Sweepstakes is not capable of running as originally planned, Sponsor in its sole discretion, reserves the right to cancel, suspend or modify the Sweepstakes or any portion(s) thereof and instruct the Sweepstakes administrator to conduct the drawing and award the Grand Prize from all salvageable eligible Entries received prior to and/or after (as appropriate) the action taken by Sponsor, or award the Grand Prize in a manner that is fair and equitable and notice of such action will be posted on Sponsor's Web Site. Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the Entry process or the operation of the Sweepstakes; to be acting in violation of the Official Rules, or to be acting in a unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any person attempting to defraud or in any way tamper with this Sweepstakes will be ineligible for the Grand Prize and may be prosecuted to the full extent of the law. In case of a dispute over the identity of a participant who submitted a winning Entry, the authorized account holder of the email address associated with that Entry will be deemed the participant. The "authorized account holder" is deemed the natural person who is assigned to an email address by an internet access provider, service provider or other online organization that is responsible for assigning email addresses for the domain associated with the submitted email address. Said owner must be the participant, comply with these Official Rules and, in Sponsor's sole discretion, may be required to provide proof of ownership of the email account.

Sweepstakes Entities are not responsible or liable for Entries that are entered by other than human means (such as by an automated computer program or any non-human mechanism, entity, bot or device), in excess of the stated limit, or for Entries that are illegible, late, tampered with, forged, incomplete, misdirected, deleted, damaged, lost, misplaced, stolen, destroyed, or otherwise not in compliance with these Official Rules and such Entries will be disqualified. Once submitted, Entries become the sole property of the Sponsor and will not be returned. The winner and participants in this Sweepstakes agree to release the Sweepstakes Entities and their respective agencies, officers, directors and employees or other company, service provider or any other persons providing the Grand Prize (or prize component) from any and all liability/responsibility with respect to the Grand Prize awarded due to reasons beyond Sponsor and/or Sweepstakes Entities control (including without limitation any property loss, damage, personal injury, or death) in connection with: participation in this Sweepstakes; human error; incorrect or inaccurate transcription of Entry Information; answers to Canadian skill testing questions. acceptance/possession, use/misuse, and/or defects of the Grand Prize (or prize component) awarded herein; any technical malfunctions of the telephone network, satellite, computer online system, computer dating mechanism, computer equipment, software, internet service provider; interruption or inability to access Sweepstakes, the Web Site or any online service via the internet due to hardware or software compatibility problems; any damage to participants (or any third person’s) computer and/or its contents related to or resulting from any part of this Sweepstakes; any lost/delayed data transmissions, omissions, or elements of the Sweepstakes and/or even if caused by the negligence of one of the Sweepstakes Entities. Sweepstakes Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of any entity (or any of its agents, servants, employees or independent contractors), (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Sponsor, or (3) by any other cause, condition or event whatsoever beyond the control of the Sweepstakes Entities. Participants further agree to indemnify and hold harmless the Sweepstakes Entities from any and all liability resulting or arising from the Sweepstakes and to release all rights to bring any claim, action or proceeding against the Sweepstakes Entities. The failure of Sponsor to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, act of public enemies, actions of governmental authorities outside of the control of Sponsor (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.

  8. GOVERNING LAW, JURISDICTION, ARBITRATION:

Any controversy or claim arising out of or relating to (i) the Sweepstakes, (ii) the awarding or redemption of the Grand Prize and/or (iii) the determination of the scope or applicability of these Official Rules or their enforcement or interpretation shall be governed by and construed in accordance with the substantive laws of the State of California without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s laws. Any controversy or claim arising out of or relating to this Agreement, its enforcement, arbitrability or interpretation shall be submitted to final and binding arbitration, to be held in Los Angeles County, California, before a single arbitrator, in accordance with California Code of Civil Procedure §§ 1280 et seq. The arbitrator shall be selected by mutual agreement of Sponsor and the participant or participants bringing forth the controversy or claim (collectively, the "Parties") or, if the Parties cannot agree, then by striking from a list of arbitrators supplied by the American Arbitration Association or JAMS/Endispute. The arbitration shall be a confidential proceeding, closed to the general public. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator's award is based. The Parties will share equally in payment of the arbitrator’s fees and arbitration expenses and any other costs unique to the arbitration hearing (recognizing that each side bears its own deposition, witness, expert and attorneys' fees and other expenses to the same extent as if the matter were being heard in court). Participants agree that his/her claim will be resolved individually, exclusively by arbitration, without resort to any form of class action. Each participant further agree that any claim/judgment/award in such arbitration shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in the Sweepstakes and in no event will participants be permitted to obtain attorneys' fees or other legal costs; and, under no circumstances, will a participant be entitled to awards for and participant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or increased. Should any term of this Section be deemed void, unenforceable or contrary to law, such term shall, but only to the extent necessary to bring this Section within the requirements of law, be deemed to be severed from the other terms of these Official Rules, and the remainder of these Official Rules shall be given effect as if it had not included the severed term herein. THE PARTIES HEREBY WAIVE THEIR RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING OUT OF OR RELATING TO THIS AGREEMENT WHETHER SOUNDING IN CONTRACT OR TORT AND INCLUDING ANY CLAIM FOR FRAUDULENT INDUCEMENT THEREOF.
