LIVE’S PREDICT THE WINNER’S CONTEST
OFFICIAL RULES



I. NAME OF SPONSOR(S) American Broadcasting Companies, Inc. (Hereinafter collectively referred to as “Sponsor”) 77 West 66th Street, New York, NY 10023.

II. ELIGIBILITY: Entrants must be 18 years of age or older as of January 30, 2017 and legal resident of the 50 U.S., D.C. or Canada (except the Province of Quebec), with the exception of Guam, Puerto Rico and all other U.S. territories and possessions. Void where prohibited by law.

Any individuals (including but not limited to employees, consultants, independent contractors, and interns) who have, within the past six months, performed services for American Broadcasting Companies, Inc., Disney/ABC Domestic Television, WABC-TV, LIVE with Kelly, any organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the contest or supplying the prize, and their respective parent, subsidiary, affiliated and successor companies, and immediate family and household members of such individuals, are not eligible to nominate or be nominated. "Immediate family members" shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses. "Household members" shall mean people who share the same residence at least three months a year. All federal, state and local laws and regulations apply.

III. HOW AND WHEN TO ENTER NO PURCHASE NECESSARY TO ENTER OR WIN.

Commencing on or around January 30, 2017 at 9:00 AM (ET) through February 26, 2017 at 2:00 PM (ET) (the “Contest Period”). Entrants can enter their “Answer Ballot” to the “LIVE's PREDICT THE WINNERS CONTEST” on the LIVE with Kelly Facebook page or on the livekelly.com website (see details below).

To enter on the website, select the “LIVE's PREDICT THE WINNERS CONTEST” option on www.livekelly.com.

To enter on Facebook directly, go to the LIVE with Kelly Facebook page www.facebook.com/LIVEKelly, “Like” the page and then click the contest tab on the Facebook page, which will take you to the entry form.

Entrants may enter (1) one entry into the contest for the “Answer Ballot” they submit. The “Answer Ballot” can be submitted online between the hours of 12:00AM (ET) and 11:59PM (ET) during the Contest Period. Limit one (1) entry per person. All entries must be received by 2:00 p.m. ET on February 26, 2017.

Entrants will be required to select an answer for each of the 24 categories on the “Answer Ballot”. which list all the nominees for the 89th annual Academy Awards®. Each Answer Ballot must have an answer selected for each of the 24 categories, or the entry may be disqualified. Entrants will also be required to provide contact information in the event they are selected.

"LIVE" can provide no technical support and accepts no responsibility for insuring the receipt or successful submission of your registration and/or correct “Answer”. Sponsor is not responsible for “Answers” not received. Sponsor is not responsible for failed, partial or garbled computer transmissions, or for technical failures of any kind, including but not limited to electronic malfunction or damage of any network, hardware or software. If for any reason the contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the contest, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the contest. No responsibility is assumed for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries; or any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, software, failure of any e-mail or electronic entry to be received on account of technical problems or traffic congestion on the Internet or at any Web-site, or any combination thereof, including any injury or damage to entrant’s or any other person’s computer related to or resulting from participation in or downloading any materials from this contest. Mass entries or entries generated by a script, macro or use of automated methods will be disqualified. If for any reason the contest is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or other causes that corrupt or affect the administration, security, fairness, integrity or proper conduct of the contest, Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, modify or suspend the contest. If canceled, Sponsor reserves the right at its discretion to determine the winner using all non-suspect eligible entries received up to the time of cancellation. In the event of a dispute over an electronic entry, prize will be awarded to the authorized subscriber of the e-mail account, not the name on the entry form.

IV. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED One (1) Grand Prize Winner from the eligible entry pool will be selected from the entrants with the most correct answers from all the submissions received during the entry period. The grand prize winner will be randomly chosen from a pool of winners who have the most correct answers.

For example, if 20 people have all 24 categories correct, a winner will be randomly selected from that pool, but if only 1 person has all 24 categories correct, he or she is the winner. If no one has selected the correct winners for all 24 categories, the winner will be selected from the pool of entrants that have all selected the most correct answers. Odds of winning will depend on the number of eligible entries received during the Entry Period.

One (1) Second Prize Winner per week (for a total of 4 weeks) from the eligible entry pool will be selected at random from all the entrants from all the submissions received during the entry period.



Winner will be selected after the Academy Awards® ends on Sunday, February 26, 2017 and notified the week of February 27, 2017.

The show may or may not contact the winner beforehand and may or may not ask the winner to be available during the show for a check-in over the phone or via Skype.

If contact with winner is not made within one (1) week, the winner will be disqualified and an alternate winner will be selected from the remaining entry pool. Failure to respond to the initial verification phone call and/or e-mail within forty-eight (48) hours after initial notification to the potential Winner or return of the e-mail notification as undeliverable after two (2) attempts will result in disqualification and award of the prize to an alternate winner. Potential Winner will be required to complete, sign and return within two (2) business days of transmission, an Affidavit of Eligibility, Release and Indemnification, and a Publicity Release where allowed by law, W-9 Form and any other documentation required by Sponsor (collectively, “Verification Documents”). If potential Winner does not respond to the initial notification within forty-eight (48) hours as set forth above, if Verification Documents are not returned to Sponsor within the specified time period, if potential Winner cannot use membership by designated dates, if any prize notification or prize is returned as non-deliverable, if potential Winner is found to be ineligible or otherwise not in compliance with these Official Rules, or if potential Winner cannot or does not accept the prize for any reason, prize may be forfeited and potential Winners will be disqualified without compensation of any kind and an alternate winner may be selected in a random drawing (time permitting) from remaining eligible entries received.

Each Canadian resident who is a potential winner will be required to answer correctly a mathematical skill testing question without assistance of any kind whether mechanical or otherwise to be declared a winner and be eligible to collect a prize. Final determination of winners is always conditional on verification of eligibility and compliance with all rules and procedures.

V. PRIZE Grand Prize: A Trip for 2 to St. Croix's Buccaneer, the Caribbean's longest running resort. Includes: 7 days/6 nights in a Deluxe ocean front room – A resort package that includes breakfast, lunch and dinner, call drinks, Choice of 25-minute spa treatment, 18 holes of golf or 3 hours of tennis per person (max 2 per room). Winner is required to provide a credit card upon check in to guarantee gratuity and any incidentals they may accrue outside the package. Gratuity not included and charged at 18%. All expenses not specifically provided in the resort package is the sole responsibility of the winner. 2 Roundtrip, coach fares from the closest major US gateway in winner’s hometown. Winner has one year (February 1, 2018) to take trip, excluding blackout dates. Approximate retail value of Grand Prize: $9,499 (including air transportation).

The Second Prize is a Netflix subscription for 5-years with digital streaming device included. Approximate retail value of Second Prize is $500.

All prize details (including details and dates) are at Sponsor’s discretion. Once Netflix subscription is obtained, dates cannot be changed unless by Sponsor in its sole discretion. Sponsor is not responsible for, changes to schedules, production exigencies or delays, postponements or cancellation of the subscription service. Winner must be 18 years of age or older. If won by a minor, prize will be awarded in parent’s or guardian’s name.

The ARV's of all prizes are furnished by the prize suppliers. For travel prizes where air transportation is included, the round-trip coach-class air transportation element of the prize begins and ends at a major commercial airport near winner's residence or in some cases from selected gateways as designated in the travel prize package. Sponsor reserves the right to structure travel route in its sole discretion. If a winner lives within 100 miles of Prize trip destination, air transportation will not be provided but ground transportation may be arranged in Sponsors sole discretion. Trips must be completed within one (1) year of notification of winning, unless otherwise stated by Sponsor and/or prize supplier(s) in their sole discretion. Trips must be booked at least twelve (12) weeks prior to travel dates or on a timeframe set by Sponsor and/or prize supplier(s) in their sole discretion, which will be disclosed in travel documentation. No extension or change of trip dates permitted once trip dates have been confirmed by Sponsor. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which will be stated in the Affidavit/Release (described below) and/or trip prize travel documents. Trip is subject to air/ground travel availability, hotel/stateroom availability, holiday and blackout dates and all other prize and travel restrictions, as applicable. If trip has a guest component, winner and guest(s) must travel together on the same itinerary (in Sponsor's and/or prize supplier(s) sole discretion). If a travel prize winner is a resident of a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian and such person must accompany the winner as the travel guest. If travel guest is a resident of a jurisdiction that deems him/her to be a Minor, he/she must be accompanied by his/her parent/legal guardian and such person must be the winner. If winner elects to travel without a guest(s), no additional compensation will be awarded. If a Prize trip is outside the U.S. or Canada (if winner is a resident there), winner and guest(s) (if applicable) are solely responsible for obtaining all necessary travel documents including passports and visas. The U.S. State Department requires all international travelers to present a government issued passport for U.S. Customs re-entry after air, land or sea travel. In the event that a prize component is not available during the time of the trip for whatever reason (e.g., weather conditions), then remaining elements of prize or prize components shall constitute full satisfaction of Sponsor's prize obligation to winner and no additional compensation will be awarded in lieu thereof. Prize winner and/or his/her travel guest(s) must have/present at least one major credit card in good standing in order to check into a hotel, cruise or resort. All other expenses and incidentals not specifically mentioned as being included are excluded and are winner's sole responsibility including, but not limited to, taxes, air transfers, government fees, unspecified ground transportation, meals, gratuities, hotel incidentals, telephone calls, port charges and taxes, government fees, shore excursion(s), souvenirs, gift shop purchases, spas, meals in alternate dining venues, travel documents, service charges and travel insurance premiums, trip and travel insurance, and required immunizations if applicable.

If the actual value of a prize is less than the stated ARV, the difference will not be awarded. Any depiction of a prize is for illustrative purposes only. Prize is not redeemable for cash or transferable, except it is transferable to a surviving spouse residing in the same household. No substitution allowed except, at Sponsor's sole discretion, a prize of equal or greater value may be substituted. Sponsor will not replace any lost, mutilated or stolen tickets, travel vouchers, certificates or prizes. Prize elements may not be separated. Airline tickets issued in conjunction with the prize are not eligible for frequent flyer miles, and no code share flights may be used.

Prize cannot be used in conjunction with any other promotion or offer. The prize winners shall be solely responsible for any applicable federal, state, provincial, local taxes and/or local laws and regulations, and the reporting consequences thereof, and for any other fees or costs associated with the prizes. Winner will receive an IRS Form 1099 reflecting the final actual value of any prize valued at $600 or more and must submit a validly executed IRS Form W-9 to claim prize.

VI. RELEASES By participating, entrants agree to be bound by these rules and the decisions of the Sponsor, which shall be final in all respects.

To claim prize winner must: (a) provide proof of winner’s age, residency, and legal status; (b) sign and return eligibility, publicity, liability, rules compliance and any other releases requested by Sponsor; and (c) have winner’s intended guest(s) or travel companion(s), if any, sign and return releases requested by Sponsor; all within the time period(s) specified by Sponsor.

By participating in the contest and/or accepting any prize that they may win, entrants agree to release American Broadcasting Companies, Inc., Disney/ABC Domestic Television, WABC-TV, LIVE with Kelly, their respective parent, subsidiary, affiliated and successor companies, advertising and promotion agencies and prize suppliers, and each of their respective officers, directors, agents, representatives and employees, as well as each of their respective successors, representatives and assigns, and Facebook (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in the contest and/or acceptance or use of the prize.

Neither Sponsor nor the Released Parties will have any liability whatsoever for any injuries, losses or damages of any kind, including but not limited to personal injury or death, caused by any prize or resulting from acceptance, possession, use and/or misuse of any prize or participation in prize-related activities.

Winner acknowledges that neither Sponsor nor its agents have made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prize, including but not limited to its quality, mechanical condition or fitness for a particular purpose. Any and all warranties and/or guarantees on a prize, if any, are subject to the manufacturer’s terms therefore and winner agrees to look solely to such manufacturers for any such warranty and/or guarantee.

Entrants authorize the Released Parties to use their name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, or on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation.

This contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to American Broadcasting Companies, Inc. and not to Facebook. Any information collected will be used in accordance with American Broadcasting Companies, Inc. privacy policy available at: http://corporate.disney.go.com/corporate/pp.html. VII. MISCELLANEOUS; WINNERS’ LIST Sponsor reserves the right, in its sole discretion, to disqualify any individual who tampers with the entry process and to cancel, terminate, modify and/or suspend the contest in the event of tampering or other circumstances, including but not limited to acts of God or civil disturbance that render it impractical or impossible to complete or fulfill the contest as originally planned.

A winners list and these rules will be posted on www.livekelly.com for at least 30 days after contest end date. A copy may be received by sending a self-addressed stamped envelope to: LIVE’s Predict the Winners Contest, 7 Lincoln Square, New York, NY 10023.
