1. Overview: LIVE's Look As Young As You Feel Makeover ("Contest") begins on January 22, 2014 Eastern Time (“ET”) and ends on February 28, 2014 which is the date the Grand Prize winner (as defined below) will be announced (“Contest Period”). The Sponsor will judge all Contest entries and select three (3) finalists who will have an opportunity to fly to New York, N.Y. for a makeover and be featured in a segment on the Live with Kelly and Michael Show. The finalists will then be judged by the general public from February 26, 2014 at 10:00 a.m. ET to February 27, 2014 at 4:00 p.m. ET (“Public Voting Period”), who will determine the Grand Prize winner of the Contest. For all purposes of this Contest, the Sponsor’s computer is the official clock and all times refer to ET.

2. Eligibility: The Contest is only open to persons 18 years of age or older as of the date of entry who are permanent legal residents of the 50 states of the U.S., the District of Columbia (“D.C.”) (excluding Guam, Puerto Rico, and all other U.S. territories and possessions) or permanent legal residents of Canada (excluding the province of Quebec) who are physically located therein. Participants may opt to enter via Facebook; however, the Contest is in no way sponsored, endorsed, administered by or associated with Facebook and Facebook is completely released of all liability by each participant in this Contest. Sponsor (defined below) has no affiliation with Facebook and no responsibility for or control of any matters relating to Facebook or Facebook accounts. In order to be able to be deemed a finalist and/or the grand prize winner, contestant(s) must be available to travel to New York, N.Y., on or about February 18, 2014 to on or about February 26, 2014 and to Los Angeles, CA on March 1, 2014 to March 3, 2014. If a Participant is a resident of a jurisdiction that deems him/her to be a minor (residents of Alabama or Nebraska in the U.S., or residents of the province of Newfoundland and Labrador, New Brunswick, Northwest Territories, Nova Scotia, Nunavut, or the Yukon in Canada under 19 years of age; or residents of Mississippi who are between 18-21 years of age) (“Minor”), he/she must obtain parental/legal guardian consent prior to entering the Contest and/or submitting any personally identifiable information and/or must be accompanied by his/her parent/legal guardian who must be deemed the travel guest. Participants must have either a valid Social Security number, a valid U.S. personal tax identification number and/or a Social Insurance number for Canadian residents. Employees of Buena Vista Television, LLC (“Sponsor”), American Broadcasting Company, Inc., WABC-TV, Live with Kelly and Michael (“Show”), Disney *ABC Domestic Television, Contest administrator, Clairol, The Procter & Gamble Company their advertising or promotion agencies, those involved in the production, development, implementation or handling of the Contest, any agents acting for, or on behalf of the above entities, their respective parent companies, officers, directors, subsidiaries, franchisees, affiliates, licensees, service providers, prize suppliers, any other person or entity associated with the Contest (collectively "Contest Entities") and/or members of their immediate families (spouses, children, siblings, parents, domestic partners) and/or persons living in the same household as such persons, whether or not related, are ineligible to enter the Contest.

3. How to Enter: Participants can enter the Contest online or by mail starting on January 22, 2014 at 10:00 a.m. ET and ending on February 6, 2014 at 11:59 p.m. ET for online entries and at 5:00 p.m. ET for mail entries (“Entry Period”). Participants may submit an entry (as described below) about himself/herself or nominate a person. A nominator may submit and entry with the permission of his/her nominee, but a nominator will not be eligible for a prize. Any additional contributor (as defined below) to the Photo/Personal Story would not be eligible for a prize unless he/she is deemed the contestant. The contestant is deemed to be the person (entrant or nominee) who is the “subject” of the entry and all of its submission components (“Contestant”) and each entry must comply with all Contest eligibility requirements as set forth in these Official Rules as well as comply with the Photo Agreement and Photo Requirements stated in section 4.

To enter online: Participants can enter the online by clicking on a Contest web banner on the Live with Kelly & Michael website located at www.livekellyandmichael.com (“Live Website”) or members of Facebook can log in to Facebook and visit the Live with Kelly & Michael Facebook Page located at http://www.facebook.com/LIVEKellyandMichael (“FB Website”). Regardless of which Website a participant selects the banner to enter, he/she will be prompted to follow the online instructions to complete the entry form that consists of the following from both the Nominator & Nominee/Contestant (as applicable): first and last name, street address, city, state/province, zip/postal code, daytime telephone number (where participant can be reached on or about the week of February 14, 2014), work telephone number, email address, date of birth, Contestant’s photo (“Photo”); Contestant’s personal story about why getting a makeover would help him/her get ready for an upcoming “big moment” in his/her life (“Personal Story”) (up to 800 words/4000 characters or less written in the English language); confirm that he/she has the rights to submit the Photo/Personal Story and complies with the Photo Agreement and Photo Requirements in section 4; and agreement to abide by the Official Rules and Sponsor’s Terms of Use (“Entry Information”). After completing and submitting the Entry Information online, Contestant will receive one (1) entry to be judged in the Contest (“Online Entry").
,br> To enter by mail: On a postcard or piece of paper (no larger than 8” x 10”), legibly hand-print the following information from both the Nominator & Nominee/Contestant (as applicable): first and last name, street address, city, state/province, zip/postal code, daytime telephone number (where participant can be reached on or about the week of February 14, 2014), work telephone number, email address; date of birth, Contestant Photo (not to exceed 8” x 10”); attach Contestant’s Personal Story about why getting a makeover would help him/her get ready for an upcoming “big moment” in his/her life (up to 800 words or less written in the English language); and mail together in an envelope (no larger than 9” x 12”) with proper postage affixed to: LIVE's Look As Young As You Feel Makeover, Ansonia Station, P.O. Box 234103, New York, N.Y. 10023 (“Mail Entry”).

Online Entries must be received by 11:59 p.m. ET on February 6, 2014 and Mail Entries must be received by 5:00 p.m. ET on February 6, 2014 (collectively “Entries”). Limit one (1) Entry per person/per day during the Contest Period. Each participant and his/her Entry must comply with all Contest eligibility requirements as set forth in these Official Rules as well as comply with the Photo Agreement and Photo/Personal Story requirements stated in section 4 below. All required Entry Information must be completed/provided in full. Participants who enter from Facebook understand that he/she is providing his/her Entry Information to the Sponsor and not to Facebook. Entries by the same person in excess of the limits stated herein will be disqualified. Participants can only participate in the Contest under one (1) email address. Once an email address has been submitted by a participant, that email address cannot be used by any other person for the purposes of this Contest. Proof of delivery or receipt of Entries will not be deemed by Sponsor as proof of Entry. Any attempted form of Entry other than as described herein is void. Final eligibility for the award of a prize is subject to eligibility verification as set forth below. MULTIPLE ENTRIES BY THE SAME PERSON IN EXCESS OF THE LIMITS STATED HEREIN (AND/OR SUBMITTED ONLINE USING MULTIPLE MEMBER, FACEBOOK OR EMAIL ACCOUNTS), WILL BE DISQUALIFIED. THE ENTRY WEBSITES AND ENTRY BANNERS MAY NOT BE ACCESSIBLE FROM ALL MOBILE PHONES, HANDHELD DEVICES AND/OR TABLETS. IF AN ENTRANT EXPERIENCES ANY ISSUES ENTERING ONLINE, HE/SHE SHOULD ACCESS THE WEB SITE AND ENTER FROM A DESKTOP OR LAPTOP COMPUTER OR SUBMIT AN ENTRY BY MAIL.

4. Photo/Personal Story Agreement and Photo/Personal Story Requirements: Each participant must own the camera equipment used to take the Photo prior to entering this Contest and no purchase of any equipment is required. Participant (and/or a contributor as defined below) must not be a professional photographer. Contestant’s Photo/Personal Story must adhere to the following guidelines and requirements:

a. Online Photo must be in either a .JPG, .JPEG, .PNG or .GIF file.

b. Photo must not exceed 1 MB (for Online Entries) and not exceed 8” x 10” (for Mail Entries)

c. Personal Story must not exceed 4,000 characters (for Online Entries) or 800 words (for Mail Entries) and be written in the English language.

d. Photo/Personal Story must be truthful, wholly original, be the participant’s/Contestant’s own creation and warrant that he/she has secured all necessary rights relating to its use and the use of the content.

e. Photo cannot contain the first name, last name, phone number(s), address, email address of the Contestant or any other person.

f. Photo/Personal Story must not have been previously entered in any competition or contest or won any award prior to submission in this Contest and Photo/Personal Story must not have been previously published, performed or otherwise exhibited.

g. Photo/Personal Story must not contain or depict any objectionable, unlawful, defamatory, obscene, sexually explicit, threatening, abusive, harassing, hateful, discriminatory, threatening, or vulgar material and must be otherwise fit for publication/posting/uploading, as determined by Sponsor in its sole and absolute discretion.

h. Photo/Personal Story must not include materials (language, phrases, quotations, logos, trademarks, artwork, or products or brand names not owned or licensed by the Sponsor or its affiliates) etc.), belonging to or copyrighted by third parties.

i. Photo/Personal Story must not contain any unsolicited or unauthorized advertising, promotional materials, or any other form of solicitation.

j. Photo/Personal Story must not contain any material that: (a) would give or threaten to give rise to criminal or civil liability; (b) encourages conduct that constitutes a criminal offense; or (c) encourages or provides instructional information about illegal activities.

k. Photo/Personal Story must not contain any references to alcohol, tobacco, drug paraphernalia, firearms, or any description or representation thereof.

l. Photo/Personal Story must not include obscenities or other objectionable material that defames or invades the publicity or privacy rights of any person (living or deceased), or that otherwise infringes upon any third party's personal or proprietary rights, as determined by Sponsor in its sole and absolute discretion.

m. Participant/Contestant represents and warrants that he/she has obtained permission of any other person who may appear in the Photo and the contribution of each and every person who has contributed to (e.g. non-professional photographer) the Photo (each a, “Contributor”) and that each Contributor has granted the participant the rights described in these Official Rules. In the event that any Contributor is deemed to be a Minor, participant warrants and represents that he/she is the parent/legal guardian of such Minor and as such granted his/her permission for said Minor to participate in the Photo and permits the use of such Minor’s name, likeness, biography, actions and contributions. All legal responsibilities under these rules of any person deemed to be a Minor are assumed by such Minor’s parent/legal guardian. Furthermore, any Contestant who is selected as a potential winner will provide the Sponsor with signed releases from each and every Contributor (if Contributor is a Minor, his/her parent/legal guardian will provide the signed release on Minor’s behalf) granting these rights (each a, “Contributor Release”) within the time specified by the Sponsor.


Sponsor has the right to disqualify any Photo/Personal Story and subsequently any Entry, that does not adhere to the above criteria, that is not reasonably pertinent to the judging criteria (described in section 5 below) or is otherwise in violation of these Official Rules as determined by Sponsor in its sole and absolute discretion.
PHOTOS AND PERSONAL STORIES OF FINALISTS MAY BE POSTED ON ONLINE AND REPRESENT SOLELY THE VIEWS/OPINIONS OF THE INDIVIDUAL CONTESTANT AND DO NOT REFLECT THE VIEWS/OPINIONS OF THE SPONSOR OR FACEBOOK IN ANY MANNER. MAY DISQUALIFY ANY PHOTO/PERSONAL STORY THAT IS IN VIOLATION OF THE RESTRICTIONS AND GUIDELINES SET FORTH IN THESE OFFICIAL RULES OR DOES NOT ADHERE TO THE ABOVE CRITERIA, IS NOT REASONABLY PERTINENT TO THE JUDGING CRITERIA (DESCRIBED IN SECTION 5 AS DETERMINED BY SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION.

5. Contest Judging: There are three (3) judging stages to the Contest, round 1 judging, finalist judging and online public voting.

a. Round 1 Judging: Weekdays beginning on or about January 22, 2014 at 10:00 a.m. ET and continuing until on or about February 12, 2014 (“Round 1 Judging”), all Contest Entries will be judged by Sponsor and/or its representatives and those Contest Entries must meet the judging criteria (see below), eligibility, Photo/Personal Story Requirements and abide by these Official Rules. Photos/Personal Stories will be judged based upon the following criteria: 1) Most compelling Personal Story (50%); 2) creativity & potential for change (35%). Photos/Personal Stories that receive seventy points (70) or higher will be eligible to move on the finalist judging round.

b. Finalist Judging: On or about the week of February 14, 2014 after all of the Entries in Round 1 have been judged, Eligible Entries whose Round 1 Judging scores totaled over seventy points (70) or higher (as described above) will be notified by a Sponsor's representative by telephone (as provided in the Entry) and will conduct a Telephone Interview” (“Finalist Judging”). Contestants will be judged upon the following criteria: excitement/exuberance and personality (15%) (“Finalist Judging Criteria”). Each Contestant’s Telephone Interview score will be added to that Contestant’s Round 1 Judging score for maximum possible score of one hundred (100) points. The top three (3) Contestants who received the highest scores based on the judging criteria listed above from all eligible Contest Entries received will be determined by Sponsor and/or its representatives and deemed the “Finalists” (subject to verification of eligibility and compliance with the Official Rules). Sponsor and/or its representatives reserve the right, in its sole discretion, to select fewer than three (3) Finalists or no Finalists if an insufficient number of eligible Contest Entries or no eligible Contest Entries are received. In the event of a tie, the Contestant whose Photo/Personal Story receives the higher score for "Most compelling Personal Story" will be declared a Finalist. In the event of a further tie, the Contestant whose Photo receives the higher score for "creativity & potential for change" will be declared a Finalist. In the event of a further tie, the Contestant whose Telephone Interview receives the higher score for "excitement/exuberance and personality" will be declared a Finalist. In the event of a further tie, Sponsor in its sole discretion shall choose a Finalist based on an evaluation of which Photo/Personal Story is superior overall taking all categories into consideration.

c. Public Voting: On or about February 26, 2014 at 10:00 a.m. ET to February 27, 2014 at 4:00 p.m. ET, each Finalist will have his/her first name, last name, city/state/province, before and after Photos and Personal Story posted on the Contest Gallery accessed by visiting the Websites in order for members of the general public to vote ("Voters") based on the Judging Criteria described in Section 3.a., and otherwise in accordance with these Official Rules (“Public Voting”). Voters must be eighteen (18) years or older as of February 26, 2014, and a current legal resident of one of the fifty (50) states of the U.S., D.C. or Canada (excluding Quebec). VOTERS ARE STRICTLY PROHIBITED FROM VOTING BASED ON THE FOLLOWING: RACE, GENDER, COLOR, RELIGION, SEX, NATIONAL ORIGIN, AGE, MARITAL STATUS, DISABILITY, MEDICAL CONDITION, SEXUAL ORIENTATION, CITIZENSHIP OR ANY OTHER BASIS PROTECTED BY APPLICABLE FEDERAL, STATE OR LOCAL LAW, ORDINANCE OR REGULATION. Each potential Finalist may vote for his/her own Entry. If it is brought to the attention of Sponsor that a Finalist or a Voter has voted using any criteria other than the Judging Criteria, has used any kind of script, vote rigging, voter exchanges, multiple accounts or otherwise in violation of these Official Rules, his/her vote(s) will be disqualified. Limit one (1) vote per day during the Public Voting Period for a maximum of two (2) votes/per person/per email address. All votes must be received by 4:00 p.m. ET on February 27, 2014 to be counted. Any attempted form of voting other than as described herein shall be null and void.


6. Notification of Finalists: Potential Finalists (or his/her parent/legal guardian if a potential winner is a Minor) will be notified by telephone at the phone number listed on his/her Entry on or about the week of February 14, 2014. If a potential Finalist cannot be reached after three (3) phone call attempts within a forty-eight (48) hour period, such potential Finalist and the next highest scoring Contestant will be selected as an alternate for the Contest. If a potential Finalist is found to be ineligible, if he/she cannot or does not comply with these Official Rules, and/or if his/her notification and travel documents or requirements are incomplete, or returned as undeliverable, such potential Finalist will be disqualified and the next highest scoring Contestant will be selected for the Contest.

7. Grand Prize Winner Determination & Notification: The Finalist who receives the most votes during the Public Voting Period based on the Judging Criteria will be deemed the grand prize winner of the Contest (subject to verification of winning accordance to these Official Rules). In the event of a tie, Sponsor and/or its representatives shall choose the grand prize winner of the Contest based on an evaluation of which Photo/Personal Story is superior overall taking all Judging Criteria categories into consideration. Grand prize winner will be announced during the Live with Kelly and Michael show broadcast on February 28, 2014 and be notified by telephone on or about the same day by Contest administrator.

8. Prizes: Three (3) Finalist Prizes will be awarded in the Contest: Each Finalist winner will receive a trip for two (2) to New York, N.Y., on or about February 18, 2014 to on or about February 26, 2014 for a minimum of five (5) days/four (4) nights to a maximum of seven (7) days/six (6) nights (actual duration of the trip in N.Y. Actual duration of the trip depends on the makeover schedule, makeover video Segment production schedule and other producer exigencies). Finalist trip includes: roundtrip coach class air transportation for winner and one (1) guest from a major commercial airport near winner ’s residence to New York, N.Y. (actual airport in the New York, N.Y. vicinity to be determined in Sponsor’s sole discretion); a minimum of five (5) days/four (4) nights to a maximum of seven (7) days/six (6) nights standard hotel accommodations (one (1) room/double occupancy); ground transportation to/ from the airport and hotel in New York; a two hundred dollar ($200) daily cash award for travel expenses awarded to the Finalist only in the form of a check (actual amount depends on the number of days each Finalist winner spends in N.Y.); one (1) hair styling session “Makeover Experience” awarded to each Finalist only (includes haircut, color and style) to be scheduled on a day during each Finalist’s trip in N.Y., in Sponsor’s sole discretion; one (1) “Shopping Experience” awarded to each Finalist only (not to exceed $1500) with a stylist scheduled in Sponsor’s sole discretion; and VIP admission for the Finalist winner and his/her guest to the LIVE with Kelly & Michael Show during his/her stay (“N.Y. Show Admission”), subject to scheduling around the Makeover Experience and the Shopping Experience (actual Show taping or broadcast subject to production schedule in Sponsor’s sole discretion) (collectively “Finalist Prize”).The total Approximate Retail Value (“ARV”) of the Finalist Prize: from $7,272 to $9,658 (depending on the duration of the stay and if he/she receives a consolation prize). Two (2) Finalist consolation prizes will be awarded: Each Finalist who are not deemed the grand prize winner will receive one (1) five hundred dollar ($500) Gift Card and a prize package of Pantene and Clairol Expert Collection products valued at two hundred dollars ($200) (“Finalist Consolation Prize”). Actual Gift Card, Pantene and Clairol products selected in Sponsor’s sole discretion. ARV of the Finalist Consolation Prize: $700. One (1) Grand Prize will be awarded: Grand Prize winner will receive a trip for two (2) to Los Angeles, California from March 1, 2014 to March 3, 2014. Grand Prize trip includes: round trip coach class air transportation for winner and one (1) guest to/from a major commercial airport near winner ’s residence to Los Angeles International Airport (actual airport near winner’s residence to be determined in Sponsor’s sole discretion); two (2) nights standard hotel accommodations in Hollywood, CA (single room/double occupancy in Sponsor’s sole discretion); ground transportation to/from the airport and hotel in Los Angeles; a two hundred dollar ($200 USD) daily cash award for travel expenses (awarded to the Grand prize winner only in the form of a check not to exceed $400 total); two (2) seats in the bleachers to observe the red carpet arrivals prior to the Academy Awards Show on March 2, 2104 (“Red Carpet Experience”); and admission for two (2) to LIVE's After Oscar Show (“LA Show Admission”) currently scheduled for a ‘live’ taping at 6:00 am PT on March 3, 2014 (subject to change in Sponsor’s sole discretion) (collectively “Grand Prize”). ARV of the Grand Prize: $3,000.

EACH FINALIST WINNER AND GRAND PRIZE WINNER (COLLECTIVELY “WINNERS”) AND GUEST MUST TRAVEL ON OR ABOUT THE DATES SPECIFIED ABOVE OR PRIZE(S) WILL BE FORFEITED IN ITS ENTIRETY WITH NO COMPENSATION OR SUBSTITUTION OF A PRIZE OR PRIZE COMPONENT AND THE PRIZE(S) MAY BE AWARDED TO AN ALTERNATE POTENTIAL WINNER (IF SCHEDULING PERMITS). IF A WINNER RESIDES IN A JURISDICTION THAT DEEMS HIM/HER TO BE A MINOR, HE/SHE MUST BE ACCOMPANIED BY HIS/HER PARENT/LEGAL GUARDIAN WHO MUST BE HIS/HER TRAVEL GUEST. All monetary values are expressed herein are U.S. dollars (“USD”). The ARV’s of the prizes and prize components are furnished by the prize suppliers and may vary due to trip duration in New York and other components. Any difference to the ARV of a prize stated in these Official Rules and the actual ARV of a Winner’s prize will not be awarded. Each Winner and his/her guest agree to all of the Show production requirements, Winner and Prize Award Requirements as stated below in section 12, dress code when attending events or Show tapings (casual business attire, no jeans, tank tops, etc.), and conditions in the Sponsor's sole discretion in order to participant in any of the stated prize components. Guests attending the Show in New York or Los Angeles must be 10 years of age or older. If a Winner lives within 100 miles of New York, N.Y. or Los Angeles, CA (as applicable), air transportation will not be provided but ground transportation (or alternative transportation) may be arranged in Sponsor’s sole discretion. No transfer, substitution or cash equivalent for a prize (or prize component), except that Sponsor in its sole discretion may substitute a prize or prize component of equal or greater value due to prize unavailability for any reason. If a N.Y. Show Admission, Makeover Experience, Shopping Experience, Red Carpet Experience, LA Admission, any other prize component is cancelled or postponed or is not available during the time of any of the prize trips for whatever reason (e.g., weather conditions, event cancellations, etc.), such applicable prize components (as applicable) will be forfeited and no additional or substitute compensation will be provided in lieu thereof. Each Winner and guest may or may not actually appear in the final version of the Show (or any subsequent Show), and the decision is subject to Producer’s requirements and sole discretion. Sponsor is not responsible or liable for cancellation or preemption of the Show airing the Winners (if applicable). Winners and/or guests will receive no compensation regardless of whether any taped segment, Photograph/Personal Story actually appears on Show. Members of the Screen Actors Guild, American Federation of Radio and Television Artists and persons running for public office are ineligible for a broadcast appearance (if applicable). Each Winner and each guest must present valid government issued ID to partake in a prize and meet any other travel requirements of airline, and/or hotel (in Sponsor’s sole discretion). Each Winner and/or his/her travel guest must have/present at least one major credit card in good standing in order to check into a hotel, attend the Show in New York or Los Angeles (if applicable) and/or attend the Red Carpet Experience. If a Winner and guest are a resident of Canada (excluding Quebec), Winner and guest are solely responsible for obtaining all necessary travel documents including passports and visas. Sponsor reserves the right to structure travel route in its sole discretion.

If a Winner elects to take trip without a guest, components of the prize will be awarded in increments/quantities suitable for the actual number of travelers and Winner will not receive any compensation or substitute/alternate prize or prize component for same. Prize and prize components cannot be combined/exchanged with any other offer. Prizes must be accepted with all listed prize components subject to the conditions indicated herein. The travel dates stated above are set and cannot be changed. No extension or change of travel dates are permitted once the travel dates have been confirmed or booked by the Sponsor. Once air travel tickets are issued they are non-refundable, non-endorsable and non-transferable. Prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which will be stated in the Affidavit/Release (described below) and/or travel documents. Once travel has been confirmed, any cancellation or change fees or restructuring of a prize trip are the sole responsibility of each Winner. Additional Prize restrictions/conditions may apply. Prize is subject to air/ground travel availability, hotel availability, holiday and blackout dates and all other prize and travel restrictions, as applicable. Each Winner and his/her guest must travel together on the same itinerary. All expenses associated with the receipt or use of a prize not specifically mentioned as being included (e.g., any requested upgrades), are excluded and are each Winner’s sole responsibility including, but not limited to: taxes, air transfers, government fees, unspecified ground transportation, meals, tips, gratuities, hotel incidentals, excursions, tours, laundry service, local and long distance telephone calls or other communications, WiFi, mobile phone roaming fees, internet or wireless services, souvenirs, gift shop purchases, spas, travel documents, service charges, travel insurance premiums, baggage fees, or transportation between Winner’s residence and the departure airport and other personal expenses. Gift card(s) or certificates cannot be exchanged/redeemed for cash or combined with any other offer and is subject to stated terms and conditions. Retailer gift certificate, gift card, or merchandise vendors will be selected by Sponsor in its sole discretion. If applicable, gift card prizes or gift certificates must be used by the expiration stated, if any, or prize (or balance thereof) will be forfeited. Sponsor reserves the right, in its sole discretion, to replace any merchandise with a newer model or version of same; but, in such event, Sponsor will continue to use the value of the “old” (i.e., replaced) item for purposes of calculating the ARV. Prize notification, documentation, tickets and trip itinerary will be shipped to U.S., D.C., and/or Canadian addresses (excluding Quebec) only. All federal, state, provincial, and/or other taxes are the sole responsibility of each Winner. Customs and import fees are the sole responsibility of any Canadian prize Winner. Each Winner will receive a 1099 form from the Sponsor for the total ARV, as stated herein, of his/her prize that he/she won in the calendar year that he/she won. Any depiction of the prizes or prize components, in Contest materials or otherwise, is for illustrative purposes only.

9. Additional Winner and Prize Award Requirements: Each Winner understands, agrees and must adhere to the following guidelines and requirements:

a. The Makeover and Shopping Experiences may result in a radical change of a Winner’s appearance and Winners cannot direct or change the direction of the Makeover, Shopping or Segment Experiences (including but not limited to hair strand tests, the use of hair dye or other evaluation and appearance altering treatments).

b. The Makeover Experience, Shopping Experience (or additional prize components I participate in) may be videotaped for a Show Segment that will be broadcast on LIVE with Kelly & Michael, however the producers are not obligated to include each Winner’s segment on the Show or online (subject to production exigencies, broadcast interruptions and other Contest limitations).

c. Portions of each Winner’s Entry, Photo/Personal Story submission and Show Segment (or in its entirety) will (or may) be posted online and available to the public during the Public Voting period (in Sponsor’s sole discretion).

d. The Show may impose additional participation, conditions, photographs and video coverage upon my receipt of any prize at any time.

e. Any prize component awarded shall be subject to procedures and rules established by these Official Rules, the Show, producer and/or network, and may be amended and changed at any time.

f. The Show, producer and/or network reserve the right to change, add, delete from, modify or amend each Winner’s Entry, Segment and other Experiences and activities.

g. Any Winner’s appearance on the Show is subject to producer's requirements and sole discretion. Winners and guests may be required to sign a Producer’s full standard release and/or any other required documentation.

h. Each Winner fully consents to all requirements stated above as a condition of becoming a Winner.
